Welcome to Amara!
These Terms of Use (or "Terms") govern your access and use of Amara, except where we expressly state that
separate terms (and not these) apply, and provide information about the Amara Service (the "Service"),
outlined below.
The Amara Service is one of the "Palacio Technologies Products", provided to you by Palacio Technologies.
These
Terms of Use therefore constitute an agreement between you and Palacio Technologies. If you do not agree to
these Terms, then do not access or use Amara.
ARBITRATION NOTICE: YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE
RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION
LAWSUIT OR CLASS-WIDE ARBITRATION. WE EXPLAIN SOME EXCEPTIONS AND HOW YOU CAN OPT OUT OF ARBITRATION
BELOW.
1. The Amara Service
We agree to provide you with the Amara Service. The Service includes all of the Amara features, services,
technologies, and software that we provide to advance Amara's mission: To empower authentic,
unfiltered human connection through 1-on-1 voice conversations.
The Service is made up of the following aspects:
- Offering opportunities to connect, communicate, and share. Amara is a mentorship
platform providing a space for authentic 1-on-1 voice conversations. Browse through thoughtful profiles
of mentors, industry experts, and experienced professionals ready to share their journey. The Service
provides tools for Users to send introductory requests, facilitate brief initial voice interactions to
establish compatibility, and subsequently subscribe to a 7-day period of voice communication
capabilities with selected individuals.
- Fostering a positive, inclusive, and safe environment. We develop and use tools and
offer resources to our community members that help to make their experiences positive and inclusive,
including when we think they might need help. We also have teams and systems that work to combat abuse
and violations of our Terms and policies, as well as harmful and deceptive behavior. We use all the
information we have, including your information, to try to keep our platform secure. Learn more in the
Privacy Policy.
2. The Privacy Policy
Providing our Service requires collecting and using your information. The Privacy
Policy explains how we collect and use information. It also explains the many ways you can control
your information. You must agree to the Privacy Policy to use Amara.
3. Account Requirements
We want our Service to be as open and inclusive as possible, but we also want it to be safe, secure, and in
accordance with the law. So, we need you to commit to a few restrictions in order to be part of the Amara
community.
- You must be at least 13 years old.
- You must not be prohibited from receiving any aspect of our Service under applicable laws or engaging in
payments related Services if you are on an applicable denied party listing.
- We must not have previously disabled your account for violation of law or any of our policies.
- You must not be a convicted sex offender.
4. User Generated Content Policy
Providing a safe and open Service for a broad community requires that we all do our part. Users can report
objectionable behavior or abusive users directly within the app. We review all reports within 24 hours. For

We have a zero-tolerance policy for objectionable behavior and abusive users.
Any user found engaging in such behavior, or sharing objectionable profile details or messages, will be
permanently banned and their account removed.
In return for our commitment to provide the Service, we require you to make the below commitments to us.
- You must not engage in conduct or share information that is defamatory, discriminatory, pornographic,
obscene, abusive, threatening, or otherwise illegal.
- You must provide us with accurate and up to date information (including registration information), which
may include providing personal data. You may not impersonate someone or something you aren't, and you
can't create an account for someone else unless you have their express permission.
- You can't do anything unlawful, misleading, or fraudulent or for an illegal or unauthorized purpose.
- You can't violate (or help or encourage others to violate) these Terms or our policies.
- You can't do anything to interfere with or impair the intended operation of the Service. This includes
misusing any reporting, dispute, or appeals channel, such as by making fraudulent or groundless reports
or appeals.
- You can't attempt to create accounts or access or collect information in unauthorized ways. This
includes creating accounts or accessing or collecting information in an automated way without our
express permission.
- You can't sell, license, or purchase any account or data obtained from us or our Service. This includes
attempts to buy, sell, or transfer any aspect of your account (including your username); solicit,
collect, or use login credentials or badges of other users.
- You can't modify, translate, create derivative works of, or reverse engineer our products or their
components.
- You can't use a domain name or URL in your username without our prior written consent.
- You can't do, or attempt to do, anything to circumvent, by-pass, or override any technological measures
that control or limit access to the Service or data.
5. Permissions and Rights
- You agree that we can download and install updates to the Service on your device.
- If you select a username or similar identifier for your account, we may change it if we believe it is
appropriate or necessary (for example, if it infringes someone's intellectual property or impersonates
another user).
- If you use content covered by intellectual property rights that we have and make available in our
Service (for example, images, designs, videos, or sounds we provide that you add to content you create
or share), we retain all rights to our content (but not yours).
- You can only use our intellectual property and trademarks or similar marks with our prior written
permission. The "Amara" name, logos, and distinct visual assets are the exclusive property of Palacio
Technologies and may not be used for commercial purposes without authorization.
- You must obtain written permission from us or under an open source license to modify, create derivative
works of, decompile, or otherwise attempt to extract source code from us.
6. Voice Calls and Privacy
To ensure high-quality and reliable connectivity, all voice calls on Amara are facilitated through our
third-party telecom provider, Twilio. By using the calling features of the Service, you acknowledge and
agree that your call audio data is securely routed through Twilio's infrastructure. You may review the Twilio Terms of Service for more
information.
For your privacy and security, Amara does not record, transcribe, or store the
audio of any voice conversations on our servers. Your conversations remain strictly private
between you and the other User.
7. Payments, Earnings, and Escrow
Amara provides a marketplace for Users to purchase 7-day communication capabilities ("Weekly Lines") with
other Users ("Providers"). All payment processing is securely handled by our third-party payment processor,
Stripe. By using the payment features of the Service, you agree to be bound by the Stripe Services Agreement.
The following terms apply directly to the Amara Service and your use of Weekly Lines:
- Secure Upfront Payments: When a User purchases a Weekly Line, the payment is charged
upfront.
- Transparent Earnings Split: The Provider retains 80% of the total transaction value.
Amara retains a 20% platform fee to cover processing costs, platform maintenance, and continued
development.
- Safety Hold (Escrow): To ensure community safety, verify transaction validity, and
maintain network integrity, all earnings are held in escrow for the duration of the 7-day Weekly Line,
plus an additional standard 8-day holding period after the week finishes. Upon completion of this hold,
earnings are automatically deposited into the Provider's connected bank account.
8. Fair Use Policy for Weekly Lines
A "Weekly Line" allows two connected users to engage in voice conversations for 7 days. To protect network
integrity, ensure fair access to telecom resources, and prevent abuse, this feature is governed by our Fair
Use Policy. A single Weekly Line is capped at a maximum of 30 hours (1,800 minutes) of total talk time per
7-day period. If a Weekly Line exceeds this usage threshold, the calling capabilities for that specific line
will be paused for the remainder of the 7-day period to ensure systemic stability. Normal functionality will
resume upon renewal or the start of a new Weekly Line.
9. Refunds and Disputes
Due to the real-time nature of voice calls and the telecom costs incurred by Amara, all purchases of
Weekly
Lines are final and non-refundable. If you believe your account was charged fraudulently or you
encountered
a severe technical failure, you may contact us within 24 hours of the transaction at support@palaciotech.com. Amara reserves the right to review
disputes on a case-by-case basis. We maintain a strict policy against fraudulent chargebacks; filing a
fraudulent chargeback or claim will result in immediate account termination.
10. Our Agreement and What Happens if We Disagree
- Disclaimer of Warranties: We work hard to provide the best Service we can and to
specify clear guidelines for everyone who uses it. Our Service, however, is provided "as is", and we
cannot guarantee it will work perfectly all the time. To the extent permitted by law, we also DISCLAIM
ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We also don’t control what people and others do
or say, and we aren’t responsible for their (or your) actions or conduct (whether online or offline) or
content (including unlawful or objectionable content). We also aren’t responsible for services and
features offered by other people or companies, even if you access them through our Service.
- Limitation of Liability: Our responsibility for anything that happens on the Service
(also called "liability") is limited as much as the law will allow. If there is an issue with our
Service, we can't know what all the possible impacts might be. You agree that we won't be responsible
("liable") for any lost profits, revenues, information, or data, or consequential, special, indirect,
exemplary, punitive, or incidental damages arising out of or related to these Terms or the Amara
Service, even if we know they are possible. This includes when we delete your content, information, or
account.
- Indemnification: You agree to defend (at our request), indemnify and hold us harmless
from and against any claims, liabilities, damages, losses, and expenses, including without limitation,
reasonable attorney's fees and costs, arising out of or in any way connected with these Terms or your
use of the Service. You will cooperate as required by us in the defense of any claim. We reserve the
right to assume the exclusive defense and control of any matter subject to indemnification by you, and
you will not in any event settle any claim without our prior written consent.
- Dispute Resolution and Arbitration: You and we agree that any cause of action, legal
claim, or dispute between you and us arising out of or related to these Terms or Amara ("claim(s)") must
be resolved by arbitration on an individual basis. Class actions and class arbitrations are not
permitted; you and we may bring a claim only on your own behalf and cannot seek relief that would affect
other Amara users. If there is a final judicial determination that any particular claim (or a request
for particular relief) cannot be arbitrated in accordance with this provision's limitations, then only
that claim (or only that request for relief) may be brought in court. All other claims (or requests for
relief) remain subject to this provision.
11. Updating These Terms
We may change our Service and policies, and we may need to make changes to these Terms so that they
accurately reflect our Service and policies. Unless otherwise required by law, we will notify you (for
example, through our Service) before we make changes to these Terms and give you an opportunity to review
them before they go into effect. Then, if you continue to access or use the Service, you will be bound by
the updated Terms. If you do not agree to any updated Terms or wish to terminate your agreement to this
contract, you can do so by deleting your account and no longer accessing or using any part of the Amara
Service.
